Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the CATNA Library (the “Library”), a private, members-only operating workspace. The Library is part of the CATNA 2.0 Program and is provided “AS IS” and “AS PROVIDED”. If you do not agree to these Terms, do not access or use the Library.

1Parties & Contact

1.1 Provider.The Library is operated by Agbisit Acquisitions Ltd (Company No. 16795399) (“Company”, “we”, “us”, “our”).

1.2 You.“Client”, “you”, or “your” means the individual accessing or using the Library under an approved CATNA 2.0 enrolment.

1.3 Contact.The only official contact channels for notices relating to the Library are:

We are not responsible for communications sent to any other address or platform.

2Definitions

Capitalised terms used but not defined in these Terms have the meanings given to them in the CATNA 2.0 Terms of Service.

2.1 Program.“Program” means CATNA 2.0, as defined in the CATNA 2.0 Terms of Service.

2.2 Materials.“Materials” means all SOPs, references, recordings, templates, frameworks, scripts, GPT workflows, dashboards, tools, automations, and any other resources exposed through the Library.

2.3 Access.“Access” means your ability to sign in to and use the Library as an APPROVED account.

2.4 Account Status.“Account Status” means one of PENDING, APPROVED, or REJECTED, as recorded against your Library account.

3Incorporation & Precedence

3.1 Incorporation.These Terms incorporate by reference the following CATNA 2.0 Program documents (collectively, the “Program Policies”): the CATNA 2.0 Terms of Service, the CATNA 2.0 End User License Agreement (EULA), the Privacy Notice, the Acceptable Use Policy, and the Refund & Returns Policy. By using the Library you agree to the Program Policies to the extent they apply to Library access.

3.2 Precedence.In the event of a conflict between these Terms and a Program Policy, the following order of precedence applies:

  • any individually signed enrolment agreement or addendum;
  • the CATNA 2.0 Terms of Service;
  • the CATNA 2.0 EULA;
  • these Library Terms of Use;
  • the Library Acceptable Use Policy;
  • the Refund & Returns Policy;
  • the Privacy Notice.

4Eligibility & Account Status

4.1 Approved members only.Access is limited to individuals whose CATNA 2.0 enrolment is in good standing and whose Library Account Status is APPROVED.

4.2 Pending & rejected accounts.PENDING or REJECTED accounts may not access any part of the Library other than the waiting-room view and the legal pages. You agree not to attempt to bypass the approval gate.

4.3 Age.You must be at least 18 years old. The Library is not intended for minors.

4.4 Authority.If you are accessing the Library as a team member of an enrolled business, you confirm that you have authority to bind that business to these Terms and the Program Policies.

5Permitted Use

5.1 Internal use.Your licence is limited to internal, read-only use of the Materials solely for operating your own business within the scope of the Program, consistent with the EULA.

5.2 No external delivery.You may not use the Materials to deliver services, training, products, or deliverables to third parties, or to build, operate, or train a competing product or programme.

5.3 No republication.You may not publish, share, upload, post, or redistribute any part of the Materials, including screenshots, excerpts, or recordings, except as expressly permitted by us in writing.

6Account Security

6.1 One user per account.Each Library account is personal and non-transferable. You may not share your sign-in details or the cookie that keeps you signed in with any other person, including a team member, assistant, or agency.

6.2 Responsibility.You are responsible for all activity on your account. You must notify legal@catna.cc immediately of any unauthorised access.

6.3 Sessions.The Library uses a small cookie to keep you signed in. You are responsible for signing out on shared devices.

6.4 Circumvention.You may not attempt to defeat, reverse-engineer, or probe the Library’s sign-in system, its limits on repeated failed sign-in attempts, or any other access controls.

7Intellectual Property

7.1 Ownership.All Materials and Library infrastructure are owned by us or our licensors and are protected by applicable intellectual property laws.

7.2 Licence.Subject to payment and continued compliance, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Materials for the duration of your APPROVED Access, in accordance with the EULA.

7.3 No derivatives.You may not adapt, translate, repackage, or create derivative works from the Materials, nor may you use the Materials to produce “templates”, “kits”, “vaults”, “notion packs”, “discord packs”, “GPT packs”, or similar resources.

8Confidentiality

8.1 Confidential information.The Library and its Materials are confidential. You must treat all SOPs, references, recordings, and member information as confidential.

8.2 Non-disclosure.You must not disclose, leak, publish, or share confidential information, and you must not reveal the identity of other Library members or the substance of private discussions without their written consent.

8.3 Injunctive relief.You acknowledge that breach of this Clause causes irreparable harm for which monetary damages alone are inadequate. We may seek injunctive relief, specific performance, and any other remedies available at law or in equity.

9Availability

9.1 No uptime guarantee.The Library is provided on an “AS IS” and “AS PROVIDED” basis. We do not guarantee uninterrupted availability, bug-free operation, or that any specific SOP or feature will remain available.

9.2 Third-party dependencies.The Library depends on third-party platforms (including hosting, database, authentication, and analytics providers). Outages or policy changes by those providers are outside our control and do not entitle you to any refund or credit.

10Modifications

10.1 Changes to the Library.We may add, modify, remove, or reorganise Materials, categories, tags, tools, and features at our discretion, provided that core Program entitlements are not materially reduced.

10.2 Changes to these Terms.We may update these Terms from time to time. Updated Terms become effective on the “Effective Date” shown at the top of this page. Your continued use of the Library constitutes acceptance of the updated Terms.

11Suspension & Termination

11.1 By us.We may suspend or terminate your Access immediately, without refund, for breach of these Terms, breach of any Program Policy, non-payment, misconduct, leakage of Materials, or any act that places the Library, its users, or its reputation at risk.

11.2 Effect of termination.On termination: (a) your Access ends immediately; (b) your licence to the Materials terminates; (c) you must cease all use; (d) the confidentiality obligations in Clause 8 survive indefinitely; and (e) any unpaid Program fees remain due and payable in accordance with the CATNA 2.0 Terms of Service.

12Disclaimers

12.1 No results guarantee.The Library is an operating workspace for approved Program members. It is not a guarantee of revenue, results, clients, views, virality, or any business outcome.

12.2 Examples are illustrative.Any figures, screenshots, or case studies within the Materials are illustrative examples only and are not promises.

12.3 Not professional advice.Nothing in the Library is legal, tax, financial, accounting, or medical advice. You are solely responsible for seeking qualified professional advice for your own circumstances.

13Liability

13.1 Non-excludable liability.Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any liability that cannot be excluded under applicable law.

13.2 Liability cap.Subject to Clause 13.1, and to the maximum extent permitted by law, our total aggregate liability arising out of or related to the Library will not exceed the total Program fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

13.3 Excluded damages.To the maximum extent permitted by law, we are not liable for any indirect, consequential, special, exemplary, or incidental damages, including loss of profits, revenue, goodwill, opportunities, or business interruption.

14Indemnity

You agree to defend, indemnify, and hold harmless the Company and its officers, employees, and contractors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms or any Program Policy; (b) your use or misuse of the Materials; (c) any content, offers, or services you provide to third parties using insights from the Library; or (d) any act of a person using your account or credentials.

15Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to hear any dispute arising out of or in connection with these Terms, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

16Miscellaneous

16.1 Severability.If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.

16.2 No waiver.Our failure to enforce any provision is not a waiver of that provision or any other.

16.3 Assignment.We may assign or transfer these Terms to any affiliate or successor in connection with a merger, acquisition, or reorganisation. You may not assign your rights or obligations without our prior written consent.

16.4 Notices.Legal notices must be sent in writing to legal@catna.cc. We may give notices to you by email, in-app message, or notice posted within the Library.

16.5 Entire agreement.These Terms, together with the Program Policies, constitute the entire agreement between you and us regarding the Library and supersede any prior understandings on that subject.

By signing in to the Library you acknowledge that you have read, understood, and agreed to these Terms.
